    Starting from July 1, 2025, Vietnam’s new Decree No. 168/2025/NĐ-CP will officially take effect, replacing Decree 01/2021/NĐ-CP. The new regulation brings a number of impactful changes to business and household business registration procedures — simplifying processes, reducing administrative layers, and enhancing transparency.
    🔍 6 Key Reforms Businesses Should Know
    1/ Mandatory Online Registration and Data Integration
    All registration procedures must now be completed via electronic platforms, and will be directly linked to:
    • Tax authorities
    • Social insurance agencies
    • The national e-invoice system
    This integration shortens processing time, avoids repetitive declarations, and improves data accuracy across government systems.
    2/ Company Seal No Longer Required on Internal Documents
    Enterprises are no longer required to stamp internal documents (such as registration applications, board resolutions, internal decisions) unless otherwise required by law.
    3/ Multiple Changes Allowed in One Application
    Instead of submitting separate filings, businesses can now combine multiple updates into one application, including:
    • Changes to business registration
    • Updates or corrections to registered information
    • Additions of business lines, changes in address or legal representative
    This saves time, effort, and streamlines processing at registration authorities.
    4/ Introduction of Beneficial Ownership Declaration
    For the first time, businesses must identify and report beneficial owners, defined as:
    • Individuals holding 25% or more of capital, or
    • Those with control over decision-making in the enterprise
    Enterprises are required to:
    • Declare and maintain records of beneficial owners
    • Update this information and notify the business registration office upon changes
    This change aligns with global standards on anti-money laundering and corporate transparency.
    5/ Stronger Protection Against Administrative Harassment
    The new decree strictly prohibits business registration authorities from requesting documents beyond what is stipulated by law. They are also restricted to assessing only the validity of the registration dossier, without interfering in internal company disputes.
    6/ Restructuring of the Business Registration System
    • At the provincial level: The business registration function moves from the Department of Planning and Investment to the Department of Finance.
    • At the local level: For the first time, ward/commune-level offices are authorized to:
      • Accept and issue household business certificates
      • Manage business registration data
      • Digitize dossiers and enforce compliance
    Notably, district-level registration offices are removed, eliminating a redundant administrative tier and strengthening local-level autonomy.
